CUSTOMER MASTER AGREEMENT This Customer Master Agreement ("Agreement") is entered into as of January 28, 2023 ("Effective Date") by and between Unistam Technology Services LLP ("Parent") and you ("Customer"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. Hereinafter, the Parent and the Customer shall be referred to individually as "Party" and collectively as "Parties." 1. PURPOSE WHEREAS the Parent offers various products and services related to hosting, and the Customer wishes to engage with the Parent to purchase and use such services. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows: 2. DEFINITIONS "Advance Account" means the credit balance maintained by the Customer with the Parent. "Agreement" refers to this Customer Master Agreement along with all its appendices and amendments. "Business Day" means Monday through Friday, excluding public holidays. "OrderBox" refers to the system facilitating service provisioning by the Parent. 3. CUSTOMER PRODUCT AGREEMENT EXTENSIONS The Customer may purchase various Parent products through separate product-specific agreements that form part of this Agreement. In case of conflicting terms between this Agreement and a Product Agreement Extension, the latter shall prevail for that product. 4. PRICING & PAYMENT TERMS Price Changes: Prices for hosting and related services are subject to change at any time without prior notice. The changes are based on market conditions and operational costs, and Parent shall not be liable for any such modifications. Initial Discounts & Renewals: Discounts may be offered for first-time purchases. However, upon renewal, standard pricing shall apply, which may be higher than the initial discounted rate. Non-Negotiable Pricing: The Customer acknowledges that they cannot request a price freeze or special pricing beyond the first-time promotional offer. Advance Payments: Customers must maintain a positive balance in their Advance Account to continue receiving uninterrupted services. Auto-Renewal: Services may be automatically renewed unless the Customer disables this feature before the renewal date. 5. OBLIGATIONS OF PARENT Parent shall provide hosting services in accordance with the terms of this Agreement. Parent reserves the right to suspend or terminate services in cases of misuse, non-payment, or breach of agreement. 6. OBLIGATIONS OF THE CUSTOMER Customer agrees to use the services in compliance with applicable laws and this Agreement. Customer shall be responsible for ensuring sufficient balance in their Advance Account for renewals and payments. 7. SERVICE LIMITATIONS & TERMINATION Parent reserves the right to limit, suspend, or terminate services if: There is a violation of this Agreement. The service usage negatively impacts other customers. Customer fails to maintain sufficient funds in their account. Parent shall not be liable for any disruptions due to service modifications or terminations. 8. LIMITATION OF LIABILITY Parent shall not be liable for any indirect, incidental, or consequential damages arising out of the use of its services. The total liability of the Parent for any claims shall not exceed the amount paid by the Customer for the services in the previous three months. 9. INDEMNIFICATION The Customer agrees to indemnify and hold harmless the Parent from any claims, losses, or damages arising from their use of the services. 10. CONFIDENTIALITY Both Parties agree to keep all non-public information confidential and not disclose it to third parties without prior written consent. 11. GOVERNING LAW & DISPUTE RESOLUTION This Agreement shall be governed by the laws of the jurisdiction where the Parent is incorporated. Any disputes shall be resolved through arbitration or in the courts of said jurisdiction. 12. MISCELLANEOUS This Agreement constitutes the entire understanding between the Parties. Amendments must be made in writing and signed by both Parties. If any provision is found invalid, the remainder of the Agreement shall remain in full force and effect. By using the services provided under this Agreement, the Customer acknowledges and agrees to these terms.
